Job Summary

The Associate Legal Counsel works on various corporate law matters related to governance, regulatory compliance, subsidiary maintenance, and corporate transactions.

Responsibilities

  • Being a close partner to the business, the successful candidate will assist in a broad spectrum of legal, corporate and transactional matters. He/she will focus primarily on Merger & Acquisitions (M&A), joint ventures, corporate restructuring and other real estate related transactions and matters in the Asia Pacific region.

  • Drafting, reviewing, and negotiating contracts to ensure Equinix’s interests are protected. Liaising with colleagues regionally and globally on corporate, and real estate related matters.

  • Working closely with members within the Global & Regional Business Affairs (Asia-Pacific) Team, including external counsels where required, assisting in legal due diligence work in M&A transactions, reviewing transactional agreements, new market entry transactions and legal entities restructuring requirements due to tax requirements within the Equinix group, and then the legal support for the integration of any new acquired businesses or new market business into the wider Equinix organization.

  • Advising on any issues arising under anti-trust/competition laws or foreign investment rules and regulations, and working with other in One Legal on regulatory matters associated with transactions supporting M&A and new markets activity in Asia-Pacific.

  • Having a sound understanding of business decisions related to Equinix’s status as a REIT.

  • Providing legal advice and responding to queries relating to contracts and corporate matters, working closely with the business stakeholders, in particular the Corporate Development Team.

  • Providing general legal advice in support of business activities, including drafting and reviewing a wide range of corporate, corporate restructuring, financing, real estate and construction related agreements.

  • Conducting presentations, training and educating the business team members on legal review processes and procedures.

  • Functioning as part of the Global & Regional Business Affairs (Asia Pacific) Team and wider global legal team, including engaging with other departments, providing input on corporate and real estate related issues, undertaking any  global projects, initiatives, deals, corporate or other commercial transactions as may arise or be assigned.

Qualifications

  • Law degree from a recognised university and possesses at least 3 years’ post qualification experience; with some experience in a law firm. The ideal candidate should have strong M&A and corporate transaction experience. Admitted to practice in any commonwealth jurisdiction.

  • Proficiency in Chinese or another Southeast Asian language will be viewed favourably as this role will support the APAC region, but not essential

  • Prepared to use technology in managing day to day tasks. Articulate, with great communication and drafting skills and highly effective in English.

  • Competent, accurate, proactive, resourceful, independent, organised, able to prioritise effectively to meet deadlines, address risk, achieve results, an effective time manager with strong interpersonal skills with a focus on teamwork and ability to foster/manage relationships across multiple departments.

  • Adaptable, flexible, pragmatic and solution-oriented, you must be willing to work and collaborate with the business to address tough legal and regulatory challenges in the digital and information age.

  • Ability and drive to take initiative and ownership of projects and tasks.
