Job Description

Johnson Controls (the “Company”) is seeking an experienced compliance professional to serve asSenior Compliance Counsel for China and Hong Kong, Macau and Taiwan (HMT). TheSenior Compliance Counsel, China and HMT will have primary responsibility for overseeing compliance programs and initiatives within the country, including being the principal support in country for the Company’s global anti-corruption, fair competition, data protection, and trade compliance risk management programs. This person will work closely with senior business management in the countries, leaders from other corporate functions, including Finance and Human Resources, the APAC regional Compliance team, and members of the Law Department. TheSenior Compliance Counsel, China and HMTwill report directly to the Director, Compliance for Asia Pacific.

Responsibilities to include:

  • Developing and maintaining effective lines of communication with senior management in China on compliance matters, and developing and supporting programs designed to enhance “tone at the top” and the Company’s “Speak Up” culture.
  • Leading the “Integrity Champions” program for China and HMT by maintaining the network of Champions, providing them training, guidance and monitoring on an ongoing basis.
  • Working closely with the regional compliance team to identify opportunities for and develop and deliver country focused trainings, communications, and compliance programs to address specific and unique compliance risks.
  • Reviewing and approving country specific third party due diligence, high risk payment transactions, gifts & entertainment and employee disclosed conflicts of interest.
  • Assisting in preparing and conducting regional compliance meetings with senior management.
  • Leading M&A compliance due diligence and post-acquisition integration activities in China and HMT.
  • Liaising with senior management to understand compliance-related needs, and leading or co-leading projects to ensure effective programmatic development to mitigate compliance risks.
  • Supporting corruption-risk assessments and reviews, data privacy, fair competition, trade, and anti-corruption compliance audits, and targeted compliance risk assessments of country business units.
  • Supporting internal investigations, including conducting interviews, drafting reports and memoranda, and other activities required during internal investigations.
  • Managing the country’s investigation remediation and disciplinary processes, including advising what matters need to be presented to the APAC Disciplinary Sub-Committee, and exercising discretion as required to escalate matters as part of the disciplinary process.
  • Working with the regional compliance team to develop and monitor plans to implement policies, procedures, and standards of conduct throughout the countries.
  • Providing day-to-day guidance and support to all Company employees in China and HMT on a wide range of compliance issues.

Candidates for Senior Compliance Counsel, China and HMT must possess the following:

  • Law degree.
  • Admitted to practice in a qualified jurisdiction with a minimum of 10 years practice experience in a national law firm or in-house corporate setting.
  • Knowledge of legal and regulatory framework at China is required.
  • Demonstrated practice experience in anti-bribery (FCPA) counseling and enforcement, anti-trust, trade regulation, competition law and similar regulatory regimes.
  • Prior litigation-related experience a plus.
  • Ability to manage external counsel and costs.
  • Ability to read and write fluently in English and Mandarin.
  • Ability to work within a team framework, a matrixed organization, and across multiple cultures.
  • Proficient in use of word processing and other data processing programs, especially Word, PowerPoint, and Excel.
