Job Description

Corporate Development Team Summary:

The Corporate Development team plays a pivotal role driving increased enterprise value by applying industry experience with proactive deal making to achieve strategic objectives and drive corporate growth. The team is tasked with creating value on a long-term basis, helping maintain the company’s competitive advantages, and achieving its strategic objectives by (i) identifying growth opportunities, (ii) evaluating acquisitions, divestitures, investments and other transactions and (iii) managing the deal execution and integration processes.


Position Summary:

Serve as “overall lead” for acquisitions, divestitures, minority investments, joint ventures and other related transactions as a member of Johnson Control’s central Corporate Development team. Partner closely with Strategy, Business Development, Integration and General Management colleagues.  Lead transactions and play a support role on select transactions in support to the EVP and VP Corporate Development.


Preferred qualifications:

  • 8-15 years of relative work experience, including some combination of below:
    • Investment banking experience, preferably Senior Associate / VP / Director level(s)
      • Bulge bracket bank
      • Leading M&A boutique
    • Relevant Corporate Development experience, preferably Director / Senior Director level
    • Consulting Transaction Advisory experience
  • Undergraduate finance background, business school, and/or CFA preferred


Principal duties / focus areas:

  1. Lead M&A transactions. Serve as “overall lead” across all stages of M&A transactions
    • Drive initial business assessments
    • Partner with business teams and Business Development team to “stress test” / “sanity check” underlying assumptions of business financial model
    • Lead financial modeling (DCF, LBO, ROIC, etc.) to inform business valuation and bidding strategy
    • Create and present business overviews to C-Suite executives
    • Serve as primary M&A lead interacting with sellers / representatives, including leading initial “intro” calls, extending LOIs, coordinating diligence, negotiating legal agreements, etc.
    • Spearhead / coordinate business and functional diligence across both internal and external advisors
    • Coordinate with internal and external legal counsel to ensure business judgement / logic is applied to legal documentation to ensure transaction reflected in legal agreements and Johnson Controls is adequately protected from potential risks


  1. Strategic perspective. Develop strategic lens to enable partnership with Strategy and Business Development teams in assessing target company fit / synergy
    • Develop an understanding of JCI’s businesses, markets, competitive strengths and growth opportunities


  1. Relationship Development / Building. Build and maintain productive relationships with corporate executives, business unit officers, target company management teams, and industry and professional networks that can assist in corporate development initiatives.  


  1. Ongoing process improvement. Assess and continually improve the internal deal selection, M&A execution and post-deal monitoring processes.


Required skills and competencies: 

  • Personality traits:

    • Team player.  Finds pleasure / reward in the success of other team members; views success as more than a “zero sum game” 
    • Strong communicator.  Both written and verbal in Chinese as well as English.
  • Professional / Educational Experience:
    • Demonstrated interest in corporate finance, investment banking, accounting, and financial markets
    • Understands ‘geographical elements’ and ‘cultural elements’ of doing transactions in China given structural, political and other complexities and has significant demonstrated experience around the same
    • Significant experience in execution of transactions on both the buy and sell side (impressive deal sheet)
    • Demonstrated experience leading teams either in function or deal execution teams
    • Advanced skill set in business valuation and financial modeling
    • Understanding and demonstration of compliance requirements from a western multinational company
  • Extensive experience with Microsoft Excel (advanced skill level), Powerpoint and Word
  • BS in Finance, Accounting, Engineering or other relevant degree strongly preferred, though would be taken into context with professional experience
  • MBA, or other relevant degree, from a top tier program preferred
